These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AI Alchemy Pty Ltd ("Company," "we," "us," or "our") governing your access to and use of the NetBoss Alchemy platform, including our website, AI-powered legal intelligence services, APIs, and related software (collectively, the "Service").
By accessing or using NetBoss Alchemy, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service. These Terms apply to all users, including legal professionals, law firms, corporate legal departments, and organizations.
IMPORTANT: These Terms include provisions for arbitration, limitation of liability, and other important legal rights. Please review them carefully.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts. By using the Service, you represent and warrant that you meet these eligibility requirements.

NetBoss Alchemy is an AI-powered legal intelligence platform that provides:
- Multi-Agent AI System: Specialized AI agents for legal document analysis, contract drafting, precedent research, and legal research assistance.
- Document Processing: Upload, analyze, and process legal documents, contracts, judgments, and other legal materials.
- Legal Research: AI-assisted legal research capabilities with access to case law, statutes, and legal precedents.
- Contract Intelligence: Automated contract analysis, clause extraction, and compliance checking.
- Knowledge Graph Integration: Semantic understanding of legal concepts and relationships.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
You agree not to use the Service to:
- Violate any applicable laws, regulations, or legal obligations
- Infringe upon intellectual property rights, privacy rights, or other rights of third parties
- Upload malicious code, viruses, or harmful software

You may not copy, modify, distribute, or create derivative works without our express written permission.
Your Content
You retain ownership of documents, data, and content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive, worldwide license to use, process, and store Your Content solely to provide and improve the Service.
AI-Generated Content
AI-generated responses, summaries, and analyses are provided for informational purposes only. You are responsible for reviewing, verifying, and validating all AI-generated content before using it in legal proceedings or professional contexts. We do not claim ownership of AI-generated content created for you.
Not Legal Advice
NetBoss Alchemy does not provide legal advice. The Service is a tool to assist legal professionals in research, document analysis, and workflow automation. All AI-generated content should be reviewed by qualified legal professionals. We are not a law firm and do not provide legal representation.
No Attorney-Client Relationship
Use of the Service does not create an attorney-client relationship between you and AI Alchemy Pty Ltd. Communications through the Service are not protected by attorney-client privilege.
Accuracy Disclaimer
While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or outdated information. You are solely responsible for verifying the accuracy, completeness, and applicability of all information and content generated by the Service.
Service Availability
We do not guarantee that the Service will be available, uninterrupted, secure, or error-free. The Service may be subject to maintenance, updates, or technical issues beyond our control.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- No Consequential Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
- Legal Decision Liability: We are not liable for any legal decisions, outcomes, or consequences resulting from your use of the Service or AI-generated content.
- Third-Party Content: We are not responsible for the accuracy, legality, or content of third-party websites, services, or resources linked to or referenced in the Service.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless AI Alchemy Pty Ltd, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

- Your Content or any content you submit through the Service
Subscription Fees
Access to certain features may require a paid subscription. Subscription fees, billing cycles, and payment terms will be specified at the time of purchase. All fees are non-refundable except as required by law or as explicitly stated in our refund policy.
Price Changes
We reserve the right to modify subscription fees with 30 days' advance notice. Price changes will not affect your current subscription period but will apply to renewals.

Termination by You

Effect of Termination

Dispute Resolution
Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the Australian Centre for International Commercial Arbitration (ACICA), except where prohibited by law. Arbitration shall take place in Melbourne, Victoria, Australia.
Class Action Waiver
You agree that disputes will be resolved individually and not as part of a class action or representative proceeding.
We reserve the right to modify these Terms at any time. Material changes will be notified by:
- Posting the updated Terms on this page with a new "Last Updated" date
- Sending an email notification to your registered email address
- Displaying a prominent notice on the Service
Your continued use of the Service after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
